1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the PyraFlow AI platform, website, and related services (collectively, the “Service”) operated by PyraFlow Inc. (“PyraFlow”, “we”, “us”, or “our”).

By creating an account or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old (or 16 years old if you are in the European Union) to use the Service. By using the Service, you represent that you meet this age requirement and that you have the legal capacity to enter into a binding agreement.

3. Account Registration

You must create an account to access most features of the Service. You agree to:

• Provide accurate and complete registration information
• Keep your credentials confidential and not share them with others
• Notify us promptly at [email protected] if you suspect unauthorized access to your account
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.

4. Description of Service

PyraFlow provides an AI agent platform that allows you to deploy, configure, and manage autonomous AI agents. Agents can perform tasks such as drafting and sending emails, managing social media content, analyzing data, and integrating with third-party services you authorize. The specific capabilities available depend on your subscription plan.

The Service relies on third-party AI models and APIs. We do not guarantee that any specific AI model will remain available indefinitely and may substitute equivalent services as needed.

5. Subscriptions and Billing

5.1 Plans

PyraFlow offers free and paid subscription plans. Features, usage limits, and pricing are described on our Pricing page and are subject to change with reasonable notice.

5.2 Payment

Paid plans are billed in advance on a monthly or annual basis. By providing payment information, you authorize us (through our payment processor, Stripe) to charge your payment method for the applicable fees. All fees are in USD and are non-refundable except as expressly stated herein or required by law.

5.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. We do not provide prorated refunds for partial billing periods.

5.4 Price Changes

We will notify you at least 30 days before any price change affecting your plan. Continued use of the Service after the effective date constitutes acceptance of the new pricing.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Generate, distribute, or facilitate spam, phishing, or unsolicited communications
• Create, distribute, or promote illegal, harmful, hateful, or sexually explicit content
• Harass, abuse, threaten, or harm any individual or group
• Infringe intellectual property rights of others
• Attempt to gain unauthorized access to any system, network, or account
• Reverse-engineer, decompile, or otherwise attempt to extract source code from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to build a competing product or service

We reserve the right to investigate and take appropriate action for any violation of these Terms, including suspending or terminating your account.

7. AI-Generated Content

The Service uses AI models to generate content on your behalf. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or unintended outputs; you are responsible for reviewing agent outputs before relying on or distributing them.
• You are solely responsible for the instructions you provide to agents and any actions agents take on your behalf, including messages sent, posts published, or files modified.
• PyraFlow is not liable for any damage or loss resulting from agent actions taken at your direction.

8. Third-Party Integrations

The Service allows you to connect third-party accounts (e.g., Google, Meta, email providers). Your use of those integrations is also subject to the terms and policies of those third parties. We are not responsible for the availability, accuracy, or conduct of third-party services. Revoking access from a third-party service may prevent related agent features from functioning.

9. Intellectual Property

9.1 Our IP

The Service, including all software, designs, trademarks, and content created by PyraFlow, is owned by PyraFlow Inc. and is protected by applicable intellectual property laws. These Terms do not grant you any rights to use PyraFlow’s trademarks or branding.

9.2 Your Content

You retain ownership of any content you upload to or create within the Service (“Your Content”). You grant PyraFlow a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely as necessary to provide the Service to you.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. PYRAFLOW DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PYRAFLOW INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PYRAFLOW IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless PyraFlow Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, costs, and fees (including reasonable attorneys’ fees) arising from: (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any third-party rights.

13. Termination

You may delete your account at any time. We may suspend or terminate your access to the Service at our discretion, with or without cause, and with or without notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 9–12) shall survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for claims relating to intellectual property or unauthorized access.

You waive any right to participate in a class-action lawsuit or class-wide arbitration.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent notice within the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
